These Terms and Conditions ("Terms") govern your use of the website located at connectelectronicsusa.com (the "Site"), and all quotes, purchase orders, sales, deliveries, and services provided by Connect Electronics USA ("Connect," "we," or "us"). By placing an order, requesting a quote, browsing the Site, or otherwise doing business with us, you ("Customer" or "you") acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you may not use the Site or purchase products from Connect.
Connect Electronics USA is an independent distributor of electronic and electromechanical components, headquartered in Spring Hill, Florida, USA. We distribute, source, and supply a broad range of electronic components — including active, passive, and electromechanical parts — and specialize in locating hard-to-find, allocated, shortage, and obsolete components through our worldwide sourcing and cross-referencing network.
Connect Electronics USA is a separate legal entity from its affiliated sister company, Connect Electronics (Dublin, Ireland). These Terms apply solely to Connect Electronics USA and to transactions with U.S. and international customers handled through our Spring Hill, Florida operations. References to quality systems, certifications, or capabilities stated on affiliated websites do not alter the terms of your agreement with Connect Electronics USA, which is governed by these Terms.
These Terms constitute a legally binding agreement between you and Connect Electronics USA. By submitting a purchase order ("PO"), accepting a quote, registering an account, or using the Site, you represent and warrant that:
Any terms or conditions set forth in your PO, acknowledgment, or other document that are different from or additional to these Terms are hereby objected to and rejected by Connect, unless Connect has expressly agreed to them in a signed writing. Connect's acceptance of any order is expressly conditioned on your assent to these Terms.
Order of Precedence. In the event of a conflict between documents, the following order shall control, from highest to lowest: (1) any written, signed agreement between the parties; (2) Connect's written quote or order acknowledgment; (3) these Terms and Conditions; and (4) the Customer's purchase order.
3.1 Quotes
All quotations provided by Connect are non-binding estimates and are subject to change without notice. A quote does not constitute an offer or a commitment to sell, and no contract is formed until Connect issues a written order acknowledgment or ships the products. Quoted prices, availability, lead times, and specifications are subject to change due to market conditions, currency fluctuation, manufacturer allocation, and other factors beyond Connect's control.
3.2 Order Acceptance
Your submission of a PO constitutes an offer to purchase. Connect reserves the right to accept or reject any order, in whole or in part, in its sole discretion. An order is deemed accepted only upon Connect's issuance of a written order acknowledgment or shipment of the products, at which point a binding contract is formed under these Terms.
3.3 Cancellations and Modifications
Orders may not be cancelled, modified, rescheduled, or returned after acceptance except with Connect's prior written consent and subject to any applicable cancellation, restocking, or handling charges. Certain products are designated as non-cancellable, non-returnable ("NCNR") at or before the time of order acknowledgment; such orders may not be cancelled or returned under any circumstances once accepted.
4.1 Pricing
All prices are quoted in U.S. dollars ("USD") unless otherwise stated in writing. Prices do not include freight, insurance, handling, customs, duties, tariffs, or taxes unless expressly quoted. Connect reserves the right to correct pricing errors and to revise quoted prices prior to order acceptance.
4.2 Taxes and Duties
Customer is responsible for all federal, state, local, and foreign taxes, duties, tariffs, customs fees, and similar charges associated with an order, excluding taxes based on Connect's net income. Where Connect is legally required to collect such taxes, the applicable amount will be added to the invoice.
4.3 Payment Terms
Unless otherwise agreed in writing, invoices are due and payable in full within 30 days of the invoice date ("Net 30"). Connect may require prepayment, a deposit, or a letter of credit for new accounts, large orders, or orders deemed to carry credit risk. Payments made late shall accrue interest at the lesser of [1.5%] per month (18% annually) or the maximum rate permitted by law.
4.4 Credit and Suspension
Connect may, at any time and without liability, suspend deliveries, cancel accepted orders, or require payment in advance if, in Connect's reasonable judgment, Customer's financial condition or payment history so warrants. Connect may apply a security interest in the goods until full payment is received.
Electronic components are subject to worldwide supply constraints, manufacturer allocation, long lead times, and obsolescence. Connect does not guarantee that any quoted or listed product is in stock or available at the time of order acceptance.
Connect reserves the right to:
Connect will not be liable for delays or non-performance caused by manufacturer allocation, shortage, discontinuation, or any other supply disruption.
6.1 Shipping Terms
Unless otherwise agreed in writing, shipments are made EXW (Ex Works) Connect's facility in Spring Hill, Florida (Incoterms 2020), meaning that title and risk of loss pass to Customer at the point the goods are made available at Connect's facility for pickup or tender to the carrier. Customer is responsible for selecting and arranging freight, insurance, and customs clearance.
6.2 Delivery Dates
Quoted delivery dates are estimates only and are not guaranteed. Connect shall not be liable for delays in delivery, regardless of cause. Connect may make partial shipments, each of which may be invoiced separately and paid as a separate transaction.
6.3 Inspection of Shipments
Customer shall inspect all shipments upon receipt and shall notify Connect in writing of any shortage, visible damage, or incorrect product within 5 business days of delivery. Claims not made within this period are deemed waived. Concealed damage must be reported within 10 business days of delivery. Title to goods that are not the subject of a timely and valid claim passes to Customer upon delivery.
6.4 Carrier Responsibility
Once goods are tendered to a carrier, the carrier is responsible for the goods in transit, and Customer shall file any loss or damage claims directly with the carrier.
7.1 Return Authorization
No product may be returned without a Return Merchandise Authorization ("RMA") number issued by Connect in advance. Returns must be made within the time period stated on the RMA, in the original manufacturer's packaging, unused and unaltered, with all original labels and traceability markings intact.
7.2 Non-Returnable Products
The following products are not eligible for return under any circumstances:
7.3 Restocking Fees
Authorized returns are subject to a restocking fee of [25%] of the purchase price or $50, whichever is greater, plus any freight, testing, or re-qualification costs. Original and return freight charges are non-refundable. Refunds, where applicable, will be issued as a credit to Customer's account or to the original payment method at Connect's discretion.
Product descriptions, datasheets, images, and specifications on the Site are provided for general informational purposes only and may be provided by the original manufacturer. Connect does not warrant that such information is current, accurate, or complete. Manufacturer datasheets and specifications may change without notice.Customer is solely responsible for:
Connect does not design, engineer, or certify Customer's end products, and nothing on the Site or in these Terms constitutes engineering or design advice.
9.1 Limited Warranty
Connect warrants that products will, at the time of delivery, conform to the applicable manufacturer's published specifications for such products. Connect's sole obligation under this warranty is, at its option, to (a) replace the non-conforming product, (b) issue a credit equal to the purchase price, or (c) refund the purchase price, provided that Customer has complied with the inspection and claim procedures in Section 6 and the return procedures in Section 7.
9.2 Manufacturer Warranties
Many products are covered by the original manufacturer's warranty. To the extent any product is covered by a manufacturer's warranty, Customer's sole remedy is through the manufacturer, and Connect makes no independent warranty with respect to such products beyond passing through whatever rights the manufacturer extends.
9.3 Disclaimer of Warranties
EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION, ALL PRODUCTS AND SERVICES ARE PROVIDED "AS IS" AND "WITH ALL FAULTS," AND CONNECT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. CONNECT DOES NOT WARRANT THAT PRODUCTS ARE AUTHENTIC, GENUINE, OR FREE FROM DEFECT, OR THAT THE SITE OR ANY SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
As an independent distributor, Connect sources products from a variety of channels, which may include original component manufacturers ("OCMs"), franchised (authorized) distributors, and verified independent sources. Connect is not a franchised or authorized distributor for all manufacturers whose products appear on the Site, and the appearance of a product or manufacturer name on the Site does not imply an authorized distribution relationship.
Connect employs sourcing and inspection practices intended to reduce the risk of counterfeit or non-conforming parts, which may include visual inspection, electrical testing, and traceability documentation. However, given the nature of the independent distribution market, Connect does not guarantee that any product is authentic or genuine, and Customer acknowledges that independent sourcing carries an inherent risk that authorized-channel sourcing does not.
Where a specific level of testing, certification, or traceability is required, Customer must request and agree to such requirements in writing prior to order acceptance. Connect may decline to source products under conditions it cannot meet.
Products sold by Connect are not designed, tested, or intended for use in life-support systems, medical implant devices, aircraft or aerospace flight systems, nuclear facilities, military or defense applications, automotive safety systems, or any other application where failure could reasonably be expected to result in death, personal injury, severe property damage, or catastrophic loss ("High-Risk Applications"), unless Connect has expressly agreed in writing to supply products for such use.
Customer shall not use, resell, or incorporate products into High-Risk Applications without Connect's prior written consent. If Customer does so, it does so at its sole risk and assumes all responsibility for any resulting loss or damage.
Products, software, technology, and technical information provided by Connect may be subject to U.S. and foreign export control laws and regulations, including the Export Administration Regulations ("EAR"), the International Traffic in Arms Regulations ("ITAR"), and the economic sanctions regulations administered by the U.S. Department of the Treasury, Office of Foreign Assets Control ("OFAC").
Customer represents and warrants that it will not, directly or indirectly, export, re-export, transfer, or release any product or technical information in violation of applicable export laws. Customer is responsible for determining the export classification of products and obtaining any required export licenses. Customer shall not sell or transfer products to any person or entity on a denied, restricted, or sanctioned party list, or for any prohibited end-use.
Products may be subject to various environmental, safety, and regulatory requirements, including but not limited to RoHS, REACH, conflict minerals (Dodd-Frank Section 1502), and country-of-origin requirements. Compliance documentation, certificates of conformance, and material declarations are available only where provided by the original manufacturer and only upon written request, and may not be available for all products.
Connect does not represent that every product complies with every applicable regulation in every jurisdiction, and Customer is responsible for determining whether products comply with the requirements of Customer's end market and intended use.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CONNECT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF CONNECT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Connect's total aggregate liability for any and all claims arising out of or relating to these Terms or any product or service, whether in contract, tort (including negligence), or otherwise, shall not exceed the amount actually paid by Customer to Connect for the specific product(s) or service(s) that gave rise to the claim.
The limitations and exclusions in this Section apply even if any remedy fails of its essential purpose. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.
Customer agrees to defend, indemnify, and hold harmless Connect and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to:

Customer may not copy, reproduce, distribute, or create derivative works of Site content without Connect's prior written consent.
16.2 Trademarks
"Connect Electronics," the Connect Electronics logo, and related marks are trademarks of Connect Electronics USA and/or its affiliates. All other trademarks appearing on the Site are the property of their respective owners.
16.3 Prohibited Uses
Customer shall not use the Site to: (a) transmit viruses, malware, or harmful code; (b) attempt to gain unauthorized access to the Site or its systems; (c) scrape, harvest, or collect product data for competitive purposes; (d) place false or fraudulent orders; or (e) use the Site in any manner that could damage, disable, or impair the Site.
16.4 Site Availability and Errors
The Site is provided on an "as available" basis. Connect does not warrant that the Site will be uninterrupted, error-free, or secure. Connect reserves the right to correct errors in pricing, product information, or descriptions at any time, including after an order has been submitted but before acceptance.
Connect respects your privacy. Information collected through the Site, including contact details and order information, is handled in accordance with our Privacy Policy, which is incorporated by reference. For details on how we collect, use, and protect personal information, please review our Privacy Policy at www.connectelectronicsusa.com/terms-conditions.
Connect shall not be liable for any delay or failure to perform caused by events beyond its reasonable control, including but not limited to: natural disasters; acts of God; fire; flood; pandemic or epidemic; war or terrorism; civil unrest; labor disputes or shortages; transportation disruptions; supplier or manufacturer delays, allocations, or discontinuations; shortage of raw materials; government action, law, or regulation; cyberattacks or system outages; and utility failures.
In such events, Connect may extend delivery times or cancel affected orders without liability, upon written notice to Customer.
19.1 Governing Law
These Terms and any dispute arising out of or relating to them or to any transaction between the parties shall be governed by and construed in accordance with the laws of the State of Florida, USA, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods ("CISG") is expressly excluded.
19.2 Venue
The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Hernando County, Florida (or, for federal matters, the Middle District of Florida) for any action arising out of or relating to these Terms.
19.3 Class Waiver
Any dispute shall be brought in the individual capacity of the parties, and no class, consolidated, or representative action shall be permitted.
Connect may revise these Terms at any time by posting an updated version on the Site. The most current version will be identified by the "Last Updated" date above. The Terms in effect at the time Connect accepts Customer's order will govern that transaction. Continued use of the Site after changes constitutes acceptance of the revised Terms.
If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect. No waiver of any provision shall be effective unless in writing and signed by Connect, and no waiver shall constitute a waiver of any other or future breach.
These Terms, together with any written quote, order acknowledgment, or signed agreement between the parties, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior or contemporaneous understandings, whether written or oral.
